1. INTRODUCTORY PROVISIONS AND CONTRACTUAL ACCEPTANCE
Welcome to Shride. These Terms of Use, hereinafter referred to as the "Terms" or "Agreement," constitute a legally binding contractual agreement between you and Shride Technologies and annexes, including its operational affiliates, hereinafter referred to as "Shride," "we," "us," or "our". This Agreement governs your comprehensive access to, interaction with, and utilization of the Shride mobile application, localized websites, proprietary application programming interfaces (APIs), digital content systems, and all related services, which are collectively defined as the "Platform". By downloading, installing, browsing, accessing, or otherwise using any component of Shride, you expressly acknowledge that you have read, understood, and agreed to be legally bound by these Terms in their entirety. If you do not agree to be bound by every provision contained within this Agreement, you are strictly prohibited from utilizing the Platform, and you must immediately cease all access and uninstall any related applications. Shride reserves the unilateral right to modify, amend, or update these Terms at any time, and such updated Terms become effective immediately upon publication on the Platform or the official website. Your continued use of the Platform after updates are published constitutes absolute and legally binding acceptance of the revised Terms.
2. LEGAL DEFINITIONS AND SCOPE OF TERMINOLOGY
To ensure clarity throughout this Agreement, specific terms shall be defined as follows: "Shride," "we," "us," or "our" refers to Shride Technologies and its corporate affiliates. "User" or "Customer" refers to any individual or legal entity utilizing the Platform to browse, request, purchase, or receive services. "Merchant" refers to independent restaurants, commercial retail stores, third-party vendors, supermarkets, and businesses offering products, meals, or services through the Platform. "Rider" or "Courier" refers to independent logistics personnel and freelance contractors providing transportation, courier, or delivery services. "Partner" refers to fleet operators, corporate collaborators, third-party logistics partners, or affiliated business entities. "Services" include ride-hailing, bike and tricycle transportation, food delivery, parcel delivery, grocery delivery, on-demand logistics, and related digital marketplace services provided through the Platform.
3. NATURE OF THE PLATFORM AND LIMITATION OF ROLE
Shride operates strictly and exclusively as a technology platform designed to connect independent Users with independent Riders, Merchants, and Partners. Shride is a digital intermediary and does not provide transportation, delivery, or retail services. Shride does not own, lease, manage, or operate any restaurants, retail kitchens, or commercial stores. Shride does not prepare food, manufacture products, or guarantee the nutritional accuracy, allergen content, or quality of items listed by Merchants. Shride does not guarantee continuous availability of services, nor does it guarantee specific delivery times due to traffic, weather, operational conditions, or other external factors. All transportation, delivery, and merchant services are performed by independent third parties who are not employees or agents of Shride.
4. USER ELIGIBILITY AND ACCOUNT REGISTRATION MANDATES
Creating an account to access the core functionalities of the Platform, or execute transactions, you must be at least 18 years old. Users agree to provide accurate and complete information during registration and must promptly update inaccurate account details to ensure data integrity. Users agree to maintain strict confidentiality of login credentials and are responsible for all actions occurring under their account. Users agree to use the Platform lawfully and responsibly at all times. Shride reserves the right to suspend, restrict, or permanently terminate accounts involved in fraud, abuse, impersonation, suspicious activity, or any violation of these Terms.
5. SCOPE OF SERVICES OFFERED
Shride may provide digital access to ride-hailing services, bike and tricycle transportation, food and restaurant delivery, grocery and retail delivery, parcel and package delivery, and on-demand dispatch and logistics services. The availability of these services varies by location, operational capacity, weather conditions, merchant hours, and independent rider availability. Shride does not guarantee that all services will be available in all geographic markets or at all times.
6. ELECTRONIC PAYMENTS, WALLET FUNCTIONALITY, AND FUNDS
All financial transactions are processed electronically through our approved third-party payment vendors to fund the Shride wallet. Funds added to the Shride wallet are explicitly non-withdrawable and may only be used for services available on the Platform. Wallet balances cannot be redeemed for cash, transferred externally, or refunded to external bank accounts except where required by applicable law. Approved refunds are credited solely back to the Shride wallet. Shride reserves the right to suspend wallet functionality where fraud, abuse, or suspicious activity is detected.
7. PRICING STRUCTURE, FEES, AND CHARGES
Pricing for services displayed on the Platform may include base fares, distance and time charges, delivery fees, service fees, small order fees, surge or peak pricing, waiting time charges, and applicable taxes or government levies. Prices displayed before order confirmation are estimates and may vary where routes, waiting time, order contents, or delivery conditions change.
8. WAIT TIME, DELAYS, AND NO-SHOW FEES
Certain services include a limited free waiting period, and additional waiting charges apply after this free period expires. If a User fails to respond, is unreachable, delays excessively, or fails to appear, the service may be cancelled and cancellation or no-show fees may apply. Shride is not liable for delays caused by traffic conditions, weather conditions, security incidents, road closures, merchant preparation delays, network interruptions, or force majeure events.
9. CANCELLATION POLICIES
For ride services, Users may cancel before the Rider begins transit without full charges applying, but if cancellation occurs after rider arrival or trip commencement, the full or partial fare may apply. For food and delivery orders, orders may not be cancellable once merchant preparation has started, dispatch assignment has occurred, or the Rider is enroute. Users, Merchants, Riders, and Shride may cancel services for safety concerns, illegal activity, operational issues, abusive conduct, unavailable items, or excessive delays.
10. REFUND POLICY AND PROCESSING CHANNELS
Refund requests are reviewed on a case-by-case basis and may be approved where a User was charged without service completion, a technical payment issue occurred, items were missing, orders were undelivered, or a Merchant could not fulfill an order. Refunds will not be granted for change of mind, taste preference, traffic-related delays, weather-related delays, user unavailability, incorrect delivery details supplied by the User, or completed services delivered substantially as ordered. All approved refunds are credited only to the Shride wallet, and no refunds are issued to external bank accounts, cards, or cash channels unless required by law. Refund timelines vary depending on investigation and processing requirements.
11. GENERAL USER OBLIGATIONS
Users agree to provide accurate pickup and delivery information, remain reachable by phone during active services, behave respectfully toward Riders, Merchants, and support staff, comply with all applicable laws and regulations, and not misuse, manipulate, or interfere with the Platform. Users are fully responsible for ensuring someone is available to receive deliveries where applicable.

13. MERCHANT TERMS AND STORE MANAGEMENT ACTIONS
Merchants are independently responsible for product quality, food preparation, menu accuracy, pricing accuracy, hygiene compliance, packaging standards, inventory availability, and compliance with health and safety regulations. Shride does not prepare food and is not responsible for food poisoning, taste preference, ingredient composition, improperly prepared meals, or inaccurate merchant descriptions. Shride actively seeks operational partnerships with Merchants to improve customer experience and service reliability. Shride may require business registration documents, valid identification, physical store verification, compliance reviews, and operational inspections during onboarding. Shride reserves the right to reject, suspend, or terminate Merchants that fail compliance standards. To improve operational efficiency and customer experience, Shride may create merchant storefronts, upload and manage product catalogs, update menus, prices, and store details, manage temporary onboarding operations, and assign internal store managers to support merchant operations. Such administrative support does not transfer ownership or operational liability from the Merchant to Shride. Shride may conduct random quarterly store inspections, operational compliance reviews, hygiene and food safety assessments, and customer experience evaluations, and non-compliance may result in penalties, suspension, reduced visibility, or permanent removal from the Platform.
14. SAFETY STANDARDS AND PROHIBITED ITEMS
Users, Riders, and Merchants must comply with all applicable laws and safety standards. The transport, sale, or request of the following items is strictly prohibited: illegal drugs or substances, weapons or explosives, stolen goods, counterfeit products, hazardous materials, fraudulent transactions, and abusive or threatening conduct. Shride reserves the absolute right to report unlawful activity to law enforcement authorities.
15. USER CONTENT AND INTELLECTUAL PROPERTY RIGHTS
Users may submit ratings, reviews, feedback, photos, and other content. By submitting content, you grant Shride an exclusive, royalty-free, worldwide, lifetime license to use, display, reproduce, and distribute such content for Platform operations, marketing, and improvement purposes. All Platform materials, including trademarks, logos, software, text, graphics, designs, and user interfaces remain the intellectual property of Shride or its licensors, and unauthorized use, reproduction, or reverse engineering is prohibited.
16. COMPREHENSIVE WARRANTY DISCLAIMERS
The Platform and Services are provided on an "as is" and "as available" basis. Shride makes no guarantees regarding uninterrupted access, service availability, delivery timing, merchant inventory, rider availability, platform compatibility, or error-free operation.
17. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Shride shall not be liable for indirect damages, incidental damages, loss of profits, data loss, business interruption, or consequential damages. Shride’s total liability relating to any claim shall not exceed the amount paid for the affected service. Nothing in these Terms excludes liability where prohibited under applicable Nigerian law.
18. INDEMNIFICATION OBLIGATIONS
You agree to indemnify and hold harmless Shride, its affiliates, directors, employees, and partners from claims, liabilities, damages, losses, and expenses arising from your use of the Platform, your violation of these Terms, disputes with third parties, unlawful conduct, or negligent or fraudulent actions.
19. REASONS FOR SUSPENSION AND TERMINATION
Shride may suspend, restrict, or terminate access to the Platform without prior notice where necessary for fraud prevention, legal compliance, operational security, policy violations, abuse or misconduct, or safety concerns. Outstanding balances or unresolved disputes must be settled before permanent deactivation.
20. DATA PROTECTION AND PRIVACY STANDARDS
Shride processes personal information in accordance with applicable Nigerian data protection laws and its Privacy Policy. Data may be shared with Riders, Merchants, payment providers, logistics partners, and regulatory authorities where legally required. By using the Platform, you consent to such processing and sharing necessary for service delivery.
21. FORCE MAJEURE EVENTS
Shride shall not be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, strikes, riots, internet outages, fuel shortages, government actions, epidemics or pandemics, or security incidents.
22. GOVERNING LAW AND RESOLUTION OF DISPUTES
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or use of the Platform shall be subject to the exclusive jurisdiction of competent courts in Ibadan Nigeria. Shride may also attempt dispute resolution through mediation or internal resolution channels before litigation.
